Terms of Service

By accessing or using the Nimbous platform and services ("Services"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not access or use the Services. These Terms constitute a legally binding agreement between you (or the entity you represent) and Nimbous Ltd ("Nimbous," "we," "us," or "our"). If you are using the Services on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.

Nimbous provides an AI lifecycle management platform that includes, but is not limited to: → Data Foundations: Ground truth data labeling, annotation, synthetic data generation, and vector embedding services → Evaluation: AI model evaluation, testing, monitoring, and quality assurance tools → Operations: Production AI infrastructure management, deployment, and orchestration → Security: Compliance monitoring, access control, and audit capabilities The specific features and functionality available to you depend on your subscription plan and any additional services agreed upon in your service agreement.

To access certain features of the Services, you must create an account. You agree to: → Provide accurate, current, and complete information during registration → Maintain and promptly update your account information → Maintain the security and confidentiality of your login credentials → Accept responsibility for all activities that occur under your account → Notify us immediately of any unauthorized use of your account We reserve the right to suspend or terminate your account if any information provided proves to be inaccurate, not current, or incomplete, or if we determine that your use of the Services violates these Terms.

Your Data: You retain all rights, title, and interest in and to the data you submit to the Services ("Your Data"). You grant Nimbous a limited, non-exclusive license to process Your Data solely for the purpose of providing the Services. Data Security: We implement industry-standard security measures to protect Your Data, including encryption in transit and at rest, access controls, and regular security audits. See our Security page for details. Data Portability: You may export Your Data from the platform at any time during your active subscription. Upon termination, we will make Your Data available for export for a period of 30 days, after which it will be securely deleted. No Training: We do not use Your Data to train our own AI models or any third-party models unless you explicitly opt in to such programs through a separate written agreement.

You agree not to: → Use the Services for any unlawful purpose or in violation of any applicable laws → Attempt to gain unauthorized access to any part of the Services or related systems → Interfere with or disrupt the integrity or performance of the Services → Reverse engineer, decompile, or disassemble any aspect of the Services → Use the Services to develop a competing product or service → Exceed the usage limits specified in your subscription plan → Share your account credentials with unauthorized third parties → Use automated systems to access the Services in a manner that exceeds reasonable use

Fees: You agree to pay all fees specified in your subscription plan or service agreement. Fees are quoted and payable in U.S. dollars unless otherwise agreed. Billing: Subscription fees are billed in advance on a monthly or annual basis, depending on your plan. Usage-based fees are billed in arrears. Late Payment: Overdue payments may accrue interest at the rate of 1.5% per month, or the maximum rate permitted by applicable law, whichever is less. Taxes: All fees are exclusive of taxes. You are responsible for all applicable taxes, excluding taxes based on Nimbous's net income.

Nimbous IP: The Services, including all software, algorithms, interfaces, documentation, and related intellectual property, are and remain the exclusive property of Nimbous. Nothing in these Terms grants you any rights to our intellectual property beyond the limited license to use the Services. Feedback: If you provide suggestions, ideas, or feedback about the Services ("Feedback"), you grant Nimbous a perpetual, irrevocable, non-exclusive license to use, modify, and incorporate such Feedback without any obligation to you.

By You: You may terminate your account at any time by providing written notice. Pre-paid fees for the remaining subscription period are non-refundable unless otherwise specified in your service agreement. By Nimbous: We may suspend or terminate your access to the Services immediately if you breach these Terms, fail to pay fees when due, or if we determine that your use poses a security risk. Effect of Termination: Upon termination, your right to access and use the Services ceases immediately. We will make Your Data available for export for 30 days following termination.

To the maximum extent permitted by applicable law, Nimbous shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, data, business, or goodwill, regardless of the theory of liability. Our total aggregate liability under these Terms shall not exceed the total fees paid by you to Nimbous during the twelve (12) months immediately preceding the event giving rise to the claim. These limitations apply even if Nimbous has been advised of the possibility of such damages and regardless of whether any remedy fails of its essential purpose.

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of laws provisions. Any disputes arising under or in connection with these Terms shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association, unless you and Nimbous agree otherwise.
